Who ultimately owns and controls the company, evidenced and kept current — the record most often out of date when it matters.
Most markets now require a company to identify the individuals who ultimately own or control it, hold that information internally, and report it to a register. Thresholds, definitions, and deadlines differ by jurisdiction, and control can exist without shareholding at all — through voting rights, board appointment rights, or a contractual veto.
The record that survives scrutiny is a chain, not a list. Where shares are held through holding companies, trusts, partnerships, or nominee arrangements, each layer needs documenting until the trail reaches named individuals, with the basis of control stated for each one.
Keep it current. A funding round, a share transfer, a new director, or a change of address usually carries its own reporting deadline. An out-of-date register is both a penalty risk and a predictable obstacle in banking review, where any mismatch between the register and your application becomes a discrepancy to resolve before anything else proceeds.

What to hold for each beneficial owner
- 01Full legal name, date of birth, and nationalityAs they appear on the identity document, not as they appear in correspondence.
- 02Residential addressWith current evidence, refreshed on the same cycle as your banking file.
- 03Identity documentValid, and certified where the jurisdiction or provider requires certification.
- 04Nature and extent of the interestShareholding percentage, voting rights, or the specific right that confers control.
- 05Date the interest was acquiredThe reference point for whether a change was reported inside its deadline.
- 06The full ownership chainEvery intermediate entity between the individual and the company, with its jurisdiction.
- 07Tax identification numberWhere the register or the provider's reporting obligations call for one.
- 08Politically exposed person statusDeclared rather than assumed; it changes the review, not the eligibility.
- 09A dated log of every changeWhat changed, when it changed, and when it was reported to each register.
